Terms of Service

This Terms of Service ("Terms") governs your access to and use of the WARMKEY services provided by Madx Radicle Sdn. Bhd. ("WARMKEY"). By using any part of the WARMKEY services, you agree to these Terms.

1. Definitions

  • ▸"User" or "Merchant": Individuals or entities using WARMKEY.
  • ▸"Deposit Request", "Withdrawal Request", "Query Log API", etc.: Refers to the specific API endpoints and operations provided by us.
  • ▸"Services": Includes all features provided via the WARMKEY website, mobile app, and backend/API.

2. Scope of Services

  • ▸WARMKEY enables merchants to receive deposits, create withdrawal requests, and query transaction logs via RESTful API.
  • ▸Your deposits will be credited directly to your merchant wallet address.
  • ▸Withdrawals are subject to limits ("rolling supply") and must comply with your configured settings and smart contract rules.

3. Non-Custodial Model

  • ▸WARMKEY does not hold or control private keys or mnemonic phrases belonging to users.
  • ▸You are responsible for securing your own signing device/app/hardware wallet.
  • ▸All transaction signatures are authorized by you; we enforce your policies but cannot override your decisions.

4. Deposit and Withdrawal Rules

Deposit Requests

When you use the Create Deposit Request API, deposit funds will be routed directly to your wallet as specified.

Withdrawal Requests

Using the Create Withdrawal Request API, you can request funds based on the rolling withdrawal amount you have deposited or provisioned. Withdrawals exceeding your supply limits or outside configured time intervals may be rejected or delayed based on smart contract enforcement.

Security Verification

At our discretion, we may implement additional operational or security delays or verification steps to prevent fraud or unauthorized use.

5. Fees, Payments, and Billing

  • ▸WARMKEY may charge fees for certain services (API usage, premium features, etc.). Any fees will be transparently disclosed.
  • ▸Unless otherwise agreed, you are responsible for all transaction fees associated with blockchain operations (e.g., Gas fees or network fees).
  • ▸Fees are subject to change; we will notify users in advance of any significant changes.

6. User Responsibilities and Acceptable Use

You agree that you will:

✦ ✦ Not engage in illegal activities (fraud, money laundering, sanctions violations)
✦ ✦ Provide accurate and complete information
✦ ✦ Secure your account credentials and signing devices
✦ ✦ Promptly notify us of any suspected security breaches

7. Intellectual Property

  • ▸All software, content, documents, trademarks, logos, and designs created by WARMKEY remain our property.
  • ▸You are granted a limited license to use our API and related documentation solely as permitted by these Terms.
  • ▸You may not reverse engineer, copy, or redistribute our proprietary software or assets without permission.

8. Limitation of Liability and Disclaimers

  • ▸WARMKEY provides services "AS IS". We do not guarantee uninterrupted or error-free service.
  • ▸To the extent permitted by law, our liability is limited to direct damages up to the amount paid to us by you during the applicable period or an agreed amount.
  • ▸We are NOT liable for indirect, incidental, or consequential damages (loss of profits, etc.).

9. Indemnification

You agree to indemnify and hold harmless WARMKEY and its affiliates from any claims, damages, liabilities, or expenses arising from your violation of these Terms, misuse of the Services, or violation of applicable law.

10. Termination and Suspension

  • ▸We may suspend or terminate your access immediately if you violate these Terms.
  • ▸You may stop using the services at any time.
  • ▸Upon termination, outstanding obligations (fees, etc.) survive.

11. Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the Laws of Lithuania.

Jurisdiction

Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the Courts of Malaysia.

12. Changes to Terms

We may update these Terms from time to time. We will notify you via email or a website announcement. Continued use after notification constitutes acceptance.

13. Miscellaneous

  • ▸Severability: If any provision is deemed invalid under law, the remaining provisions remain valid.
  • ▸Entire Agreement: These Terms + Privacy Policy + any other policies posted on the site constitute the entire agreement.
