These Terms of Use (“Terms”) govern your access to and use of the WARMKEY Services provided by Madx Radicle Sdn. Bhd. (“WARMKEY”, “we”, “us”, “our”). By using any part of WARMKEY’s services (website, APIs, app), you agree to these Terms. If you don’t agree, do not use our services.

1. Definitions
  • “User” or “Merchant”: person or entity using WARMKEY.
  • “Deposit Request”, “Withdrawal Request”, “Query Log API”, etc.: refers to the specific API endpoints and operations we offer.
  • “Service(s)”: includes all features provided via WARMKEY website, mobile app, backend / APIs.
2. Scope of Services
  • WARMKEY enables merchants to receive deposits, create withdrawal requests, and query transaction logs via RESTful APIs.
  • Your deposits are directly credited to your merchant wallet address.
  • Withdrawals are subject to limits (“rolling supply”) and must comply with your configured settings and smart contract rules
3. Non-Custodial Model
  • WARMKEY does not hold or control private keys or mnemonic codes belonging to Users.
  • You are responsible for securing your own signing device / app / hardware wallet.
  • All signing of transactions is yours to authorize; we enforce your policies but do not override your decision.
4. Deposit & Withdrawal Rules
  • Deposit Requests: When you use the Create Deposit Request API, deposit funds are routed directly to your wallet as specified.
  • Withdrawal Requests: Using the Create Withdrawal Request API, you can request funds based on your deposited or supplied withdrawal rolling amount. Withdrawals beyond your supply limit, or outside configured timing intervals, may be rejected or delayed per smart contract enforcement.
  • We may implement additional operational or security delays or verification steps at our discretion to protect against fraud or unauthorized usage.
5. Fees, Payment & Billing (if applicable)
  • WARMKEY may charge fees for certain services (API usage, premium features, etc.). Any fees will be transparently disclosed.
  • You are responsible for all transaction fees (e.g. gas fees or network fees) associated with blockchain operations unless otherwise agreed.
  • Fees are subject to change; we will notify users in advance of significant changes.
6. User Responsibilities & Acceptable Use

You agree you will:

  • Use the Services only for legal purposes.
  • Not engage in illicit activities (fraud, money laundering, sanctions violations).
  • Provide accurate and complete information.
  • Protect your account credentials and signing device.
  • Immediately notify us of any suspected security breach.
7. Intellectual Property Rights
  • All software, content, documentation, trademarks, logos, designs created by WARMKEY remain our property.
  • You receive a limited license to use the APIs and related documentation as permitted by these Terms.
  • You may not reverse engineer, reproduce, or redistribute our proprietary software or assets without permission.
8. Limitation of Liability & Disclaimers
  • WARMKEY provides services “as is.” We do not guarantee uninterrupted service or zero defects.
  • To the extent permitted by law, our liability is limited to direct damages up to the amount you have paid to us in the past [X] months or an agreed amount.
  • We are not liable for indirect, incidental, or consequential damages (lost profits, etc.).
9. Indemnification

You agree to indemnify and hold WARMKEY and its affiliates harmless from any claims, costs, liabilities or expenses arising from your breach of these Terms, misuse of the Services, or violation of law.

10. Termination & Suspension
  • We may suspend or terminate your access immediately if you breach these Terms.
  • You may stop using the Service at any time.
  • Upon termination, outstanding obligations (fees, etc.) survive.
11. Governing Law & Dispute Resolution
  • Applicable Law: These Terms shall be governed by and construed in accordance with the laws of Lithuania.
  • Jurisdiction: Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts in Malaysia.
12. Changes to Terms

We may update these Terms from time to time. We’ll notify you via email or website announcement. Continued use after notice indicates acceptance.

13. Miscellaneous
  • Severability: If some provision is invalid under law, remaining provisions still apply.
  • Entire Agreement: These Terms + Privacy Policy + any other policies posted on the site constitute the entire agreement.
